DUKAAPP SOFTWARE AS A SERVICE (SaaS) SUBSCRIPTION AGREEMENT
THIS AGREEMENT is made on this ______ day of ______ 2026
BETWEEN: DUKAAPP BUSINESS TECHNOLOGIES (Company Registration No. _____________) of Nairobi, Kenya ("The Provider") AND the Customer named below.
1. DEFINITIONS
- "DukaApp" means the WhatsApp-based financial tracking platform
- "Subscription Fee" means KES 299 per month per shop
- "Trial Period" means 14 days from registration date with no payment required
2. SERVICES PROVIDED
The Provider grants the Customer a non-exclusive, non-transferable right to access and use DukaApp which provides: Sales and expense tracking via WhatsApp, Daily profit calculation and reporting, Weekly summary reports, M-Pesa transaction integration, and basic Inventory tracking.
3. SUBSCRIPTION TERM AND FEES

Payment is due on the same day each month following the trial period. Late payment beyond 7 days may result in service suspension.
4. CUSTOMER OBLIGATIONS
The Customer agrees to: Provide accurate business information, maintain valid M-Pesa line, not share access credentials, and use DukaApp only for lawful business purposes.
5. RESTRICTIONS
The Customer shall not: reverse engineer the software, resell access, use for illegal activities, or intentionally input false data.
6. DATA OWNERSHIP AND PRIVACY
All User Data remains the exclusive property of the Customer. The Provider shall comply with the Data Protection Act, 2019.
7. TERMINATION

8. DISPUTE RESOLUTION
Any dispute shall first be referred to mediation. If unresolved, the matter shall be submitted to arbitration in Nairobi under the Arbitration Act, 1995.
9. GOVERNING LAW
This Agreement shall be governed by the laws of the Republic of Kenya.
